Terms of Trade
These Terms of Trade apply to all engagements with Sound Choice Pro Audio Ltd, unless otherwise agreed in writing. By requesting or accepting any goods or services from Sound Choice Pro Audio Ltd, the Customer acknowledges these terms.
1. Definitions
“SCPA” refers to Sound Choice Pro Audio NZ Ltd.
“Customer” refers to the party applying for credit or purchasing goods/services from SCPA.
“Goods” means any products or equipment supplied by SCPA.
2. Supply Conditions
Products supplied by SCPA are to be sold only to end users and must not be resold to other resellers without prior written permission from SCPA.
3. Intellectual Property
All materials provided by SCPA, including but not limited to manuals, diagrams, and marketing content, are protected under New Zealand copyright law.
The SCPA trademarks remain the exclusive property of Sound Choice Pro Audio NZ Ltd and may not be used in advertising or marketing materials without prior written approval.
4. Payment Terms
All invoices are due within 30 days of the invoice date.
Interest on overdue accounts may be charged monthly at the rate equal to SCPA’s bank overdraft rate plus 0.25% per month.
SCPA reserves the right to withdraw credit facilities at its discretion and decline future orders.
5. Returns Policy
Goods will only be accepted for return with prior approval from the Sales Department.
Approved returns must reference a return authorization number and include all accessories.
Freight costs for returns are the responsibility of the Customer.
A restocking fee may apply in some cases.
6. Freight and Risk
All goods become the Customer’s risk once they leave SCPA’s warehouse.
Freight and insurance can be arranged by SCPA at its preferred rates or via the Customer’s nominated carrier and account number.
7. Ownership and Retention of Title
Ownership of goods remains with SCPA until full payment is received.
Until payment is complete:
The Customer holds the goods as bailee and must store them separately.
Goods may not be resold without written consent from SCPA.
If resold with consent, sale proceeds must be held in trust for SCPA.
If the Customer defaults on payment, SCPA may enter premises to recover goods without notice.
The Customer must maintain records of any goods owned by SCPA.
8. Authority and Disclosure
The Customer authorizes SCPA to obtain or share credit and account information from any relevant source at any time for credit assessment purposes.
9. Termination
This agreement may be terminated immediately by either party in the event of a material breach.
10. Product Liability
To the extent permitted by law, SCPA’s liability is limited to:
Repair of defective goods; or
Replacement with an equivalent product if the original is unavailable.
SCPA is not liable for any indirect or consequential loss or damage.
11. Privacy Policy
SCPA will comply with all applicable New Zealand privacy laws in relation to the collection and use of personal information.
12. Acknowledgement
By accepting supply from Sound Choice Pro Audio NZ Ltd, the Customer acknowledges and agrees to abide by these Terms of Trade.
13. Personal Guarantee (if applicable)
If the Customer is a company, trust, or other entity, the directors, trustees, or proprietors personally guarantee all obligations, including payment of all amounts due.
Guarantors agree to cover all costs of recovery, including legal fees.
SCPA holds a caveatable interest over any assets of the guarantor in the event of non-payment.
This guarantee remains in effect until all outstanding debts are paid in full.
14. Jurisdiction
All contracts, agreements, and disputes are governed by the laws of New Zealand, and any proceedings will take place in Christchurch.
